1. Acceptance of these terms
These Terms and Conditions ("Terms") are an agreement between Peety Portal L.L.C., operating Peety.ai ("Peety", "we", "us"), and the business that uses the Peety service as a retailer ("Retailer", "you"). By using the dashboard or the service you agree to these Terms, to our Privacy Policy and to any onboarding agreement you sign with us. If there is a conflict, your signed agreement prevails. Shoppers who order through a Retailer's WhatsApp are covered by separate customer terms.
2. The Peety service
Peety is a software platform that connects to a Retailer's WhatsApp Business account and provides AI-assisted ordering, product search and cart building, order and delivery management, payment and wallet tools, offers and campaigns to customers, customer records and reports. Features depend on how your account is set up and may change as we improve the product. Peety is a technology provider and an intermediary. It is not the seller of your products and does not provide delivery or logistics services.
3. Accounts and onboarding
Retailer accounts are created by the Peety team and activated after the onboarding agreement is signed. Self-signup is not available. You must provide accurate information and keep it up to date. You are responsible for your staff's use of the dashboard, for keeping credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorised use. Sensitive actions, such as changing payout details or approving some refunds, may require you to sign in again.
4. Retailer responsibilities
You are the seller. As between you and your customers, you are responsible for:
- The accuracy of your products, prices, stock, offers, delivery area, fees and opening hours.
- Accepting, preparing, delivering and, where needed, refunding or replacing orders, including delivery by your own team or riders.
- Holding any licences required for what you sell, including regulated goods such as medicines, and complying with consumer protection, tax, e-commerce and data protection laws that apply to you.
- The content of any messages, templates, offers and campaigns you create or approve.
Peety is not a party to the sale between you and your customer and is not responsible for the goods or their delivery.
5. WhatsApp and Meta requirements
Peety uses the WhatsApp Business Platform. You must comply with the WhatsApp Business Terms, Meta's commerce and messaging policies and its template approval rules. Meta controls its platform, so message delivery, template approval, quality ratings, sending limits and pricing can change or be restricted by Meta, and Peety is not liable for those decisions.
6. Campaigns and messaging rules
When you send offers or other promotional messages through Peety you agree that:
- You will only message customers you are allowed to contact, and you will honour opt-outs. Peety excludes opted-out customers, invalid numbers and known undeliverable numbers before sending, but you remain responsible for the lawfulness of your campaigns.
- You will stay within the daily sending limit and the monthly messaging budget shown in your dashboard, and within Meta's limits.
- You will not send spam, misleading, unlawful or prohibited content.
We may pause or block campaigns that risk your messaging quality, breach these rules or put the platform at risk.
7. Payments and your wallet
Customers can pay by cash on delivery, card on delivery or online. Online card payments are processed by our payment provider and are authorised when the order is placed and captured when you accept it. They are released if the order is rejected, times out or is cancelled. Peety does not store full card numbers. Payouts to you are made to the bank account you have verified with us. Your Peety Cash wallet holds a balance used to pay fees; you can top it up by card, set automatic top-ups or pay by bank transfer, which our team approves.
8. Fees, taxes and Meta charges
Fees are set out in your onboarding agreement and in your dashboard, in UAE dirhams (AED) unless stated otherwise. The Peety service fee is charged per order at a rate agreed for your store, and 5% VAT applies to the fee. Fees are deducted from your wallet as orders complete, and if your balance is too low, some features such as cash-on-delivery ordering may be paused until you top up. Charges set by third parties for your usage, such as WhatsApp messaging charges from Meta, may be billed to you as shown in your dashboard. We may change fees on reasonable notice. See our pricing page for how fees work.
9. Cancellations, returns and refunds
Either party may end the relationship as set out in your onboarding agreement. Returns and refunds to your customers are handled through Peety's return flow. You review and decide requests, and you are responsible for refunds and replacements you approve. If a store does not respond to a well-supported customer claim in time, Peety may resolve the claim and recover the amount from you, as set out in our customer terms. Card refunds go back to the original payment method and can take several business days.
10. AI features
Peety's AI may produce incomplete or incorrect results, such as a wrong product match or an inaccurate reply. You must review your catalogue, pricing and order flow, and you are responsible for orders accepted through the service. Prices, discounts, fees and totals are calculated by Peety's systems from your catalogue and settings. AI output is provided "as is" and is not professional, medical, legal or financial advice.
11. Customer data and privacy
You own your catalogue and your customer and order data. You give us permission to process that data to provide the service, as described in our Privacy Policy. For Shopper data you are the controller and we are your processor. You must have a lawful basis, and give any notices needed, for the data you ask us to process. We may use anonymised and aggregated data to operate and improve the service.
12. Acceptable use
You must not:
- Use Peety for anything unlawful, fraudulent, harmful or deceptive, or to sell prohibited or counterfeit goods.
- Send unsolicited bulk messages or harass anyone.
- Attempt to access other Retailers' data, probe or disrupt the platform, or overload it.
- Share API keys or credentials, or use the Partner API beyond the scopes and limits issued to you.
- Copy, resell, reverse engineer or build a competing service from Peety, except where the law allows.
- Upload malware or content that infringes the rights of others.
13. Intellectual property
Peety, its software, design, trademarks and documentation belong to us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is active. You keep the rights in your content and grant us a licence to host and process it to provide the service.
14. Third-party services
The service relies on third parties such as Meta (WhatsApp), AI, mapping, payment and hosting providers. Their availability and terms are outside our control, and we are not responsible for their acts or outages.
15. Availability and support
We work to keep Peety available and secure but do not promise uninterrupted or error-free service. We may carry out maintenance and will try to give notice of planned downtime. Support is available through admin@peety.ai and our contact page.
16. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
17. Limitation of liability
To the fullest extent permitted by law, Peety will not be liable for indirect, incidental or consequential loss, or loss of profit, revenue, goodwill or data. Our total liability for any claim relating to the service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
18. Indemnity
You will indemnify Peety against claims, losses and costs arising from your products, orders, campaigns, content or breach of these Terms or the law, including claims from your customers or from Meta relating to your messages.
19. Suspension and termination
We may suspend or end your access if you breach these Terms, do not pay, or your use creates legal or security risk or harms our standing with Meta. On termination, your right to use the service ends and we will handle your data as set out in our Privacy Policy. Sections that by nature should survive, such as payment, liability and governing law, will continue to apply.
20. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over disputes, unless we agree in writing to another forum. We encourage you to contact us first so we can try to resolve any issue informally.
21. Changes to these terms
We may update these Terms from time to time. We will notify Retailers of material changes by email or in the dashboard. If you keep using the service after the change takes effect, you accept the updated Terms.
